Welcome to the website of The Premium Group, Inc. (the “Site”). By using the Site, you accept these Terms of Use, which PGI reserves the right to modify from time to time. If you do not agree with all of these Terms of Use, do not use the Site.

PURPOSE

This Site is provided for use by physicians and other healthcare providers who wish to receive quotations for medical malpractice insurance from insurance carriers. In order to facilitate that process, providers (1) authorize PGI to access credentialing information about themselves that they have previously submitted to the Universal Provider Datasource® maintained by CAQH, the Council for Affordable Quality Healthcare, Inc., and (2) provide certain additional information not included in the Universal Provider Datasource. The information obtained about each provider, both directly and from CAQH, will in turn be provided to insurance carriers so that they may supply to the provider quotations for medical malpractice insurance. If you are not a healthcare provider seeking quotations for medical malpractice insurance, you are not authorized to use this Site.

UPDATES AND GUIDELINES

We may update these Terms of Use from time to time without notice to you. You can review the most current version of the Terms of Use at any time at [http://www.doc-insurance.com/tou.html]. When using certain portions of the Site, you and we will be subject to any posted guidelines or rules applicable thereto, which may be posted and updated from to time. All such guidelines and rules are hereby incorporated by reference into these Terms of Use.

ACCOUNTS, PASSWORD AND SECURITY

We use passwords and user IDs in order to protect the integrity of the information we collect about you. Each healthcare provider who uses the Site will receive a password and user ID upon completing our registration process. You are responsible for maintaining the confidentiality of your password and user ID, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify PGI of any unauthorized use of your password or User ID or any other breach of security. PGI will not be liable for any loss or damage to you or anyone else arising from your failure to comply with this rule.

USE OF THE SITE

By submitting information through the Site or otherwise using the Site:

• You represent that you are of legal age to form a binding contract and of legal working age, and are not a person barred from using the Site, under the laws of the United States or any other applicable law;

• If you are using the Site on behalf of your employer, you represent that you are authorized to do so; and

• You agree that you will: (a) provide true, accurate, current and complete information about yourself and/or your employer and (b) maintain and promptly correct the information you submit to keep it true, accurate, current and complete.

OTHER CONDUCT

You also agree to abide by the following rules for use of the Site.

• You may not use the Site in such a manner as to violate any applicable law.

• You may not use the Site or any hardware, software, or equipment of PGI for the purposes of destroying, disrupting or interrupting any software, hardware or any part of the Internet, with respect to PGI or any other party, including denial of service attacks, imposition of an unreasonable or disproportionately large load on infrastructure, or virus dissemination.

• You may not use any robot, spider or other automated device to monitor or copy the web pages of the Site or any information provided on the Site without the express written permission of PGI.

We reserve the right to modify any features of the Site at any time without advance notice. WE MAY, IN OUR SOLE DISCRETION, TERMINATE OR SUSPEND ACCESS TO ALL OR PART OF THIS SITE (a) FOR ANYONE WHO FAILS TO COMPLY WITH THESE TERMS OF USE, or (b) FOR ANYONE, IN ORDER TO PREVENT OR MITIGATE HARM TO THE PERSON OR PROPERTY OF YOU, OTHER USERS OF THE SITE, PGI, OR THIRD PARTIES, OR AS REQUIRED BY LAW.

Other trademarks, service marks, and logos used on the Site are trademarks of PGI or others. Nothing on the Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark without the prior written consent of PGI. The designations , SM, ®, ©, or any other intellectual property symbols reflect registration and/or use in the context of United States laws as such relate to such intellectual property symbols.

DISCLAIMER OF WARRANTIES

THE SITE AND THE INFORMATION ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PGI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. PGI shall not be liable for any failure to perform under these Terms of Use where such failure results from any cause beyond PGI’s reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, THOSE PROVISIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

PERSONAL INFORMATION YOU PROVIDE US

For the purposes of this Privacy Policy, “Personal Information” is any information that identifies you, or would enable someone to contact you. We collect and store Personal Information when you submit information to us through the Site and when we access information about you from CAQH’s Universal Provider Datasource.

SECURITY PROCEDURES USED TO PROTECT YOUR PERSONAL INFORMATION

We use physical, electronic, and administrative safeguards to assist us in preventing unauthorized access, maintaining data accuracy, and correctly using your Personal Information. Except as specified in this Privacy Policy, we limit access to your Personal Information to the employees, agents, and officers of PGI who need the information for their jobs.

DISCLOSURES OF THE INFORMATION WE COLLECT TO OUTSIDE PARTIES

We will provide your personal information to insurance carriers so that they may supply quotations for you for medical malpractice insurance. We may also disclose Personal Information we collect from you if required to do so by law or in the good faith belief that disclosure is necessary (a) to obey the law or comply with legal process served on us or our affiliates; (b) to protect and defend our rights or property or the rights or property of other users of our website; or (c) to act in an emergency to protect the personal safety of users of our websites or the public. PGI will not sell, trade or rent your Personal Information to others or disclose your confidential information to any other party for any other purpose other than as set forth in this section.

CHILDREN'S ONLINE PRIVACY PROTECTION ACT COMPLIANCE THIS SITE IS NOT INTENDED FOR PERSONS UNDER 13 YEARS OF AGE. BY ENTERING THIS SITE, USERS REPRESENT THEY ARE 13 YEARS OF AGE OR OLDER.
